Statuts of the association
“Les Amis de Folleterre”
passed at the General Assembly on Terschelling, Netherlands, July 23rd 2005
TITLE 1 : INTRODUCTION
Article 1 : Name and creation
This corporation is formed among the members accepting the present statute as an association named LES AMIS DE FOLLETERRE directed under the law of 1 July 1901 and the present statute.
Article 2 : Goals
This organisation’s goals are:
- to organise a structure and activities to allow its members to gather around the themes proposed by the association, especially friendship, equality, respect, companionship, and international encounters;
- to organise activities to promote among its members values in harmony with nature and the respect of the natural world;
- to manage the group’s collective resources to allow for gatherings of members in a natural setting chosen by the association.
Article 3 : Registered address
The address of the registered seat of the association is Ternuay-Melay-et-St-Hilaire. It may be changed by a simple decision of the board of directors.
Article 4 : Activities
The goals of the association are achieved by the following activities:
• publications, courses, conferences, working meetings,
• any initiative being able to help to achieve the goals of the association,
• any purchase of goods and real estate within the frame of the goals or the capability to contribute to that purpose,
• the ongoing or occasional sale of any products or services within the frame of the goals or the capability to contribute to that purpose.
Article 5 : Resources
The association has its resources:
• membership dues;
• sale of goods or fees for services rendered;
• capital reserved from savings in the annual budget cycle;
• gifts
• grants from public entities;
• governmental subsidies form the State, region, department, commune, and/or public institutions;
• interest and revenue from the goods owned by the association;
• the value of the goods eventually produced by the association according to the law 85-698.
TITLE II : ORGANISATION AND MANAGEMENT
Article 6 : Membership
Members of this association will be people or associations who share similar goals and values and who are current in their dues. The application for membership has to be addressed to the Administrative Council of the association who decides about it. A membership application can also be approved by the General Assembly. The radiation of members is regulated in the internal rules. The annual dues are freely fixed by the general assembly. The minimum membership fee has to be so low, that applicants with no regular income can afford to become a member.
Article 7 : General Assembly
The General Assembly is the supreme decision making body of the association. The General Assembly consists of all Members current with their dues. The President of the association will call a General Assembly at least once a year. The General Assembly sets the regulations for the association and will make decisions according to the internal rules and will especially:
• elect the members of the Administrative Council and the Stewards of the association,
• approve any changes of the statutes and internal rules, and
• approve the financial report of the treasurer.
Article 8 : Administrative Council
The association is directed by an Administrative Council consisting of at least three members, among them a President, a Treasurer and a Secretary, chosen by the General Assembly for one year of service and renewable. Members of the Administrative Council are expected to contribute time, energy, and money to the association in accordance with the internal rules. The members of the Administrative Council are able to stand for re-election each year. In the event of a vacancy, the Administrative Council may select a temporary replacement with a steward of the association, who will be in office until the following General Assembly.
The President represents the association in all civil actions and under public law. She/he may represent the association in legal matters and has the power to sign all acts of purchase of goods and real estate. The Secretary is responsible for the correspondence and the records of the association. She/he edits the reports of the meetings and assemblies and in general all documents concerning the business of the association, with the exception of those concerning finances. The Treasurer is responsible for the financial accounting of the association. She/e makes and receives all payments under the oversight of the President, all dues of the association. She/he may not redistribute funds set aside for the reserves of the association without the authorization of the Administrative Council. She/he keeps records of the financial operations and reports each year to the Administrative Council.
Other members of the Administrative Council may be charged with special task by the General Assembly.
Article 9 : Meetings of the Administrative Council
The Administrative Council meets at least twice a year and whenever convened by the President. The meetings are held and decisions are made according to the internal rules of the association. The presence of at least half of the members at the meeting is required for deliberations and decision making.
Article 10 : Stewards and Stewardship Circle
Stewards are members of the association who are fulfilling a special task for the association. The Stewards are expected to contribute time, energy, and money to the association and make decisions in accordance with the internal rules. The members of the Administrative Council are Stewards by office. All Stewards become members of the Stewardship Circle and are operating under its guidance except for the duties the Administrative Council is responsible for as such. Members who want to apply for stewardship address their application to the Administrative Council according to the internal rules and are elected by the General Assembly for one year. Between General Assemblies the Administrative Council can accept a Steward who will have to stand for election at the next general assembly. The Steward stands for re-election each year. The responsibility of the Stewardship Circle is regulated in the internal rules. The Stewardship Circle is also serves as an advisory board to the Administrative Council according to the internal rules.
Article 11 : Meetings of the Stewards
The Stewards meet at least twice a year and whenever convened by the President or the Chairman of the Stewardship Circle, if a chairman is appointed according to the internal rules. The meetings are held and decisions are made according to the internal rules of the association.
Article 12 : Internal Rules
Internal Rules will be established by the Administrative Council and will have to be approved by the General Assembly.
TITLE III : DISSOLUTION
Article 13 : Dissolution
In the event of dissolution, the Administrative Council will name one or several liquidators who will be in charge of the liquidation of the goods and whose powers are determined by the association. The members of the association may not receive any part whatsoever of the property of the association. The assets of the association will be obligatory transferred to one or many associations pursuing similar goals and who will be chosen by the Administrative Council.
